Robert Ciszek - Supervisory Board Chairman
Graduated from the Warsaw School of Economics. Since 2000 active in M&A field. Currently Partner in RKR Investment & Partnerzy Sp. K., and Management Board Chairman of VM Investment fund.
In 2004-2006 Management Board Chairman of Fabryka Maszyn Rolniczych PILMET S.A. responsible for operational and financial restructuring. In 2000-2004 Management Board Chairman of Sokółka Sieć Dystrybucji Sp. z o.o., responsible for greenfield project related to distribution network establishing for one of the leading windows manufacturers in Poland. In 1999-2000 Senior Portfolio Manager at Everest Capital Polska, the assets managing company of investment funds Zachodni NFI, VII NFI and Foksal NFI, responsible for companies portfolio representing construction, metal and wood industries.
Supervised and managed numerous M&A projects, assets divestiture and split, capital raising, employment restructuring, new standards implementation in management accounting and production organization field. In 1998-1999 Management Board Member of WINUEL S.A., market leader in software production and IT solutions integration for the energy sector. Responsible i.a. for strategic investor acquisition. In 1996-1999 Investment Manager at WESTFUND Polska, assets managing company for investment fund Zachodni NFI S.A., involved in numerous projects related to companies restructuring and strategic investors acquiring.

Tomasz Łuczyński
In 2003 became attorney-at-law. In 1999 graduated from Warsaw University, Law and Administration Faculty. Has Master’s degree summa cum laude in law and administration. In 1998 graduated from Warsaw University, Applied Linguistics and Eastslavonic Philology Faculty. Has Master’s degree in German and English. In 1998 obtained graduation certificate in French and European law, Centre for French and European Legal Studies. In 1997 obtained graduation certificate in English and European law, British Centre for English and European Legal Studies. In 1997 won a scholarship from Stefan Batory Foundation.
Professionally involved in capital markets since 1999. Commenced his legal career by assisting PAZUR S.A. in IPO process at Warsaw Stock Exchange. Afterwards worked for international law company Weil, Gotshal & Manges, and biggest investment bank in Poland BRE Bank S.A.
Advised on many significant transactions in Polish capital market. Experienced as supervisory boards member in public companies Optimus S.A., Vistula S.A., PKM Duda S.A., Unimil S.A., Foksal NFI S.A.
Specialises in civil, commercial and banking law, primarily however in capital markets issues. Fluent in Polish, English, German, French and Russian.

Monika Nowakowska
Graduated from Częstochowa University of Technology, Faculty of Management, majored in Business Management, in 2012 has received title: “Politechnika Częstochowska Graduate of the Year”. In 2011 she was ranked in third place in “100 Women in Business” rank organized by Puls Biznesu. She specialises in restructuring of S&M companies on operation and financial fields.
First years of her career were associated with the distribution of FMCG: cosmetics, household and hygiene products and zoological products (e.g.: Miraculum , Zoo- Factory, International Paper Klucze). From January 2010 to November 2012 she served as the Chairman of the Board of Grupa Kolastyna S.A.in arrangement bankruptcy (presently Miraculum S.A.).
In 2012-2014 period she was engaged in the development of the Polish capital group from the interior design industry. Members of the capital group had been specialized in production and distribution of household appliances, furnitures, decorative items, sanitary articles and wood products (Duka, Ravanson, House & more, C4D, Liveno, DLH Poland).
Monika Nowakowska serves as the President of the Management Board in:
- RDM Partners sp. z o.o. since December 2012 (activity: restructuring, development, management)
- Zoo-Factory S.A. since August 2013 (start-up – activities: production and distribution of zoological products)
- Fire Protection Services S.A since August 2013 (holding company – Activities: majority shareholder in Ogniochron S.A.)
- Mediqual Poland sp. z o.o. since April 2014 (start-up – activities: distribution of orthopaedics equipment and medical devices used in long-term care)
Together with a team of advisors RDM Partners Sp. z o.o. she conducted a successful restructuring of the Miraculum S.A. (previously Group Kolastyna S.A.) by entering into an arrangement with creditors, and execution of the agreement as well as beyond-agreement repaymens of banking loans. The management team she cooperate with, have broad experience in the field of refinancing financial liabilities of the companies (banks and investment funds). Since October 2014 she is the President of the Management Board in Miraculum S.A. and July 2015 also one of the major shareholders of the company.

Ewaryst Zagajewski
Graduated from University of Lodz, Faculty of Economics and Sociology and Master of Engineering at Lodz University of Technology, Faculty of Mechanical Engineering. He possesses Chartered Financial Analyst (license No. 35) and Licensed Stockbroker (license No. 555) qualifications.
Mr Ewaryst Zagajewski gained professional experience at: Bank Przemysłowy SA in Lodz, Bank Rozwoju Eksportu, PKO/Handlowy Powszechne Towarzystwo Emerytalne SA, Noble TFI SA, Credit Value Investment Sp. z o.o., Caspian Capital SA, Structur Concept I Sp. z o.o., CTA Plaza Sp. z o.o., Niezależny Dom Maklerski SA.
Mr Ewaryst Zagajewski gained experience as Member of the Supervisory Board of Howell SA, Z.O.K.S. SA, Niezależni Eksperci Majątkowi SA, Storm Yacht SA, Vivid.pl SA, „Metalplast-Kalisz” Sp. z o.o., BBI Development SA. From December 2016 he is a member of the Supervisory Board at Noble Funds TFI SA.
He lectures to Financial Directors at the Main School of Administration and Management and also to Financial Analysts at Higher School of Insurance and Banking at the Faculty of Fund Management.
